These Terms & Conditions (“Terms”) govern your use of the website glamcoslabs.com (the “Site”) and any private label, contract manufacturing, custom formulation or related services (the “Services”) provided by Glamcos Lifestyle Private Limited (“Glamcos Labs”, “we”, “us”, “our”). By accessing the Site or engaging our Services, you (“Client”, “you”) agree to be bound by these Terms. If you do not agree, please do not use the Site or Services.

1. Our Services

Glamcos Labs offers private label and contract manufacturing, custom formulation, and finished-product fulfilment for beauty and personal care brands. Details of specific services, minimum order quantities (MOQs), lead times and pricing are shared separately during the quotation and onboarding process and, once agreed in writing (including by email), form part of the binding commercial agreement between you and us for that order.

2. Use of the Website

You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use and enjoyment of the Site by, any third party. You must not misuse the Site by knowingly introducing viruses, trojans, worms or other material that is malicious or technologically harmful, or attempt to gain unauthorised access to the Site, the server on which it is stored, or any server, computer or database connected to it.

3. Quotations, Orders & MOQs

All quotations provided by Glamcos Labs are estimates based on the information available at the time and are subject to change following formulation finalisation, packaging selection, or changes in raw material costs. Orders are confirmed only once you provide written approval of the quotation, formulation and/or sample, along with any advance payment specified. Minimum order quantities vary by product category and are communicated at the time of quotation.

4. Pricing & Payment Terms

Prices are quoted in Indian Rupees (INR) unless otherwise agreed and are exclusive of applicable taxes (including GST) unless stated otherwise. Payment schedules (advance, milestone and balance payments) are agreed on a per-order basis. Production will not commence, and dispatch will not be made, until payments due at each stage have been received in full, unless otherwise agreed in writing.

5. Samples & Formulation Approval

Where samples or pre-production formulations are provided, you are responsible for reviewing and approving them (including stability, fragrance, texture and packaging) before bulk production begins. Once a sample or formulation is approved in writing, Glamcos Labs will manufacture the bulk order to match the approved standard, and no complaints relating to characteristics present in, and reasonably consistent with, the approved sample will be entertained.

6. Intellectual Property

All content on the Site — including text, graphics, logos, images and formulations developed independently by Glamcos Labs — is our property or that of our licensors and is protected by applicable intellectual property laws. Formulations, packaging designs, trademarks and branding developed or supplied by you for your private label products remain your property. Formulations developed by Glamcos Labs specifically and exclusively for you under a signed exclusivity agreement will be governed by the terms of that agreement.

7. Confidentiality

Each party agrees to keep confidential any non-public business, technical or formulation information shared by the other party in connection with an order, and to use such information solely for the purpose of fulfilling that order, except where disclosure is required by law.

8. Quality, Warranties & Liability

We manufacture products in accordance with the specifications approved by you and applicable regulatory standards (such as GMP and, where applicable, BIS/CDSCO cosmetic requirements) in effect at the time of manufacture. Our liability for any defect, shortfall or non-conformance is limited, at our option, to re-manufacture of the affected quantity or refund of the amount paid for the affected quantity, and in no event shall our aggregate liability for any order exceed the total amount paid by you for that order. We are not liable for indirect, incidental or consequential losses, including loss of profits or business, arising from the use of the products by you or your end customers.

9. Delivery & Risk

Delivery timelines communicated at the time of order confirmation are estimates and may be affected by factors outside our reasonable control (including raw material availability, courier/logistics delays, or force majeure events). Risk in the goods passes to you upon dispatch from our facility, unless otherwise agreed. Please also see our Shipping Policy for further detail.

10. Cancellations & Refunds

Cancellation and refund terms for orders are set out in our Refund & Cancellation Policy, which forms part of these Terms.

11. Third-Party Links

The Site may contain links to third-party websites. We are not responsible for the content, accuracy or practices of any linked third-party site, and inclusion of a link does not imply endorsement.

12. Indemnification

You agree to indemnify and hold Glamcos Labs harmless from any claims, damages, liabilities or expenses (including reasonable legal fees) arising from your breach of these Terms, misuse of the Services, or infringement of any third-party intellectual property or other rights in connection with branding, artwork or specifications you supply to us.

13. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Subject to any dispute resolution mechanism separately agreed in a signed order or agreement, the courts at Gautam Buddha Nagar, Uttar Pradesh shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms.

14. Changes to These Terms

We may update these Terms from time to time to reflect changes in our practices or for legal, regulatory or operational reasons. The “Last updated” date at the top of this page indicates when these Terms were last revised. Continued use of the Site or Services after changes are posted constitutes acceptance of the revised Terms.
